By using Procuro, you agree to these Terms of Service. If you do not agree, please do not use the app.
1. Acceptance of Terms
Welcome to Procuro! These Terms of Service ("Terms") govern your use of the Procuro application ("App"), which integrates with QuickBooks Online. By accessing or using Procuro, you ("User," "you," or "your") agree to be bound by these Terms.
2. Description of Service
Procuro is a business savings tool that:
- Connects to your QuickBooks Online account via OAuth 2.0
- Monitors your recurring business purchases
- Compares prices across major retailers (Amazon, Walmart, Staples, etc.)
- Generates savings alerts when better prices are found
- Provides analytics dashboards and reports
3. Eligibility
To use Procuro, you must:
- Be at least 18 years old
- Have a valid QuickBooks Online account
- Have authority to connect your company's QuickBooks account
- Provide accurate registration information
4. Account Responsibilities
4.1 QuickBooks Connection
You are responsible for:
- Maintaining the security of your QuickBooks credentials
- All activities that occur under your connected account
- Notifying us immediately of any unauthorized access
4.2 Data Accuracy
Procuro relies on data from your QuickBooks account. You are responsible for ensuring that your QuickBooks data is accurate and up-to-date.
5. Subscription & Pricing
5.1 Free Trial
New users receive a 14-day free trial. No credit card is required during the trial. The trial automatically ends after 14 days unless you subscribe.
5.2 Paid Subscription
After the free trial, Procuro costs:
- $9.99/month (billed monthly)
- $99/year (billed annually, saves $20/year)
5.3 Billing
- Subscriptions auto-renew unless canceled
- You will be charged at the start of each billing cycle
- Prices may change with 30 days' notice
5.4 Cancellation
You may cancel at any time. Cancellations take effect at the end of the current billing period. No refunds for partial months/years.
6. Use Restrictions
You agree NOT to:
- ❌ Use Procuro for any illegal or unauthorized purpose
- ❌ Reverse engineer, decompile, or disassemble the App
- ❌ Attempt to gain unauthorized access to our systems
- ❌ Use automated bots or scrapers to access the App
- ❌ Share your account credentials with others
- ❌ Resell or redistribute Procuro services
- ❌ Upload malicious code or viruses
7. Savings Estimates & Disclaimers

Procuro provides price comparison data for informational purposes only. We do NOT guarantee:
- That displayed prices are the lowest available
- That you will achieve any specific savings amount
- That prices shown are accurate in real-time (retailer prices change frequently)
- That items are in stock or available for purchase
7.1 Price Data Sources
Price data is sourced from third-party retailer APIs and websites. We are not responsible for:
- Errors in retailer pricing data
- Price changes after alerts are generated
- Differences in product specifications or quality
- Shipping costs, taxes, or additional fees
7.2 Purchasing Decisions
You are solely responsible for all purchasing decisions. Procuro does NOT:
- Process purchases or payments
- Endorse specific vendors or products
- Verify product quality or authenticity
8. Intellectual Property
All content, features, and functionality of Procuro (including software, text, graphics, logos, and trademarks) are owned by Procuro and protected by copyright, trademark, and other intellectual property laws.
You may NOT:
- Copy, modify, or distribute our code or content
- Use our trademarks without permission
- Create derivative works based on Procuro
9. Limitation of Liability

Procuro is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.
To the maximum extent permitted by law, Procuro and its developers shall NOT be liable for:
- Any direct, indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Data loss or corruption
- Errors, interruptions, or downtime
- Reliance on price data or savings estimates
- Unauthorized access to your account
Maximum Liability: Our total liability shall not exceed the amount you paid for Procuro in the 12 months prior to the claim.
10. Indemnification
You agree to indemnify and hold harmless Procuro, its developers, and affiliates from any claims, damages, or expenses arising from:
- Your use of the App
- Your violation of these Terms
- Your violation of any third-party rights
- Your QuickBooks data or purchasing decisions
11. Termination
11.1 By You
You may terminate your account at any time by:
- Canceling your subscription in Settings
- Disconnecting from QuickBooks
- Emailing us at procuroapp@gmail.com
11.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- Your subscription payment fails
- We detect fraudulent or abusive activity
- We discontinue the service (with 30 days' notice)
12. Privacy
Your use of Procuro is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.
13. Changes to Terms
We may update these Terms periodically. Changes will be posted on this page with an updated "Effective Date." Continued use of Procuro after changes constitutes acceptance of the updated Terms.
Material changes will be communicated via email or in-app notification.
14. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
Any disputes shall be resolved in the courts of California.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Procuro regarding your use of the App.
